*   **3D Scanning & Reverse Engineering:** Dimensional analysis, CAD model generation, and quality control.

All specifications, tolerances, and deliverables for projects will be detailed in a separate, written **Quotation or Purchase Order ("PO")**, which, upon acceptance by both parties, shall form a binding contract incorporating these Terms.

**3. Intellectual Property**

*   **Our IP:** All content on this Website, including logos, designs, text, graphics, images, and technical data, is the intellectual property of Creative Mould Works and is protected by copyright and other intellectual property laws.

*   **Client-Provided IP:** Any designs, drawings, CAD models, or specifications you provide to us for quotation or manufacturing ("Client Materials") remain your intellectual property. You grant us a limited license to use these Client Materials solely for the purpose of fulfilling your order.

*   **Output IP:** Intellectual property for any new designs, drawings, or CAD models created by us as part of a project (e.g., a new mould design) will be specified in the project's Quotation/PO. Unless otherwise agreed in writing, the IP for these newly created works will be transferred to the client upon full payment for the project.

**4. Quotations, Orders, and Pricing**

*   **Quotations:** Quotations are valid for 30 days from the date of issue, unless otherwise stated. Prices are subject to change due to fluctuations in raw material costs, currency exchange rates, or changes in client specifications.

*   **Orders:** A contract is formed only when we receive and confirm your official Purchase Order.

*   **Pricing:** All prices are quoted in Indian Rupees (INR) unless specified otherwise. Prices are exclusive of all taxes, including GST, duties, and shipping costs, which will be added to the invoice and borne by the client.

**5. Payment Terms**

*   Standard payment terms are **50% advance with the order and 50% before dispatch**.

*   For long-duration projects, a milestone-based payment schedule may be agreed upon and detailed in the Quotation/PO.

*   We reserve the right to withhold delivery of any goods or services until all due payments are received.

*   Late payments may be subject to interest charges of [e.g., 1.5%] per month.

**6. Delivery and Shipping**

*   Delivery timelines provided are estimates and are not guaranteed. We are not liable for delays caused by unforeseen circumstances, including but not limited to force majeure events, supply chain disruptions, or client-induced delays in providing information or approvals.

*   Risk of loss or damage to the goods passes to the client upon our handing over the goods to the shipping carrier.

*   Shipping and handling charges are the responsibility of the client.

**7. Confidentiality**

Both parties agree to treat all technical, commercial, and financial information exchanged in connection with these Terms and any project as confidential. This obligation of confidentiality shall survive the termination of our business relationship.

**8. Warranty and Liability**

*   **Warranty:** We warrant that our products and services will be free from defects in workmanship and materials for a period of [e.g., 6 months] from the date of delivery. This warranty does not cover defects resulting from misuse, improper handling, normal wear and tear, or modifications made by the client.

*   **Limitation of Liability:** Our total liability to you for any and all claims arising from a contract shall not exceed the total price paid by you for the specific product or service giving rise to the claim. In no event shall we be liable for any indirect, special, incidental, or consequential damages, including loss of profits or production.

**9. 3D Scanning Service Specific Terms**

*   **Accuracy:** The accuracy of 3D scan data is dependent on the object's geometry, surface finish, and environmental conditions. We strive for high accuracy but do not guarantee specific tolerances unless explicitly agreed in writing for a project.

*   **Data Ownership & Usage:** Scan data and resulting CAD models are delivered to the client for their use. We may retain a copy for our records and for quality control purposes but will not use it for any other purpose without the client's permission.

**10. Termination**

Either party may terminate a project if the other party breaches a material term of these Terms or the PO and fails to cure such breach within 30 days of written notice. Upon termination, the client shall pay for all work completed and expenses incurred up to the date of termination.

**11. Governing Law and Dispute Resolution**

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Rajkot, Gujarat, India.

**12. Changes to Terms**

We reserve the right to modify these Terms and Conditions at any time. The updated version will be posted on our Website with a revised "Last Updated" date. Your continued use of the Website or Services after any change constitutes your acceptance of the new Terms.
